1.    Your Account

1.1 The use of this web site is restricted to registered distributors ("Authorized Users") of Keepromo Australia Pty Ltd. If you are not a registered distributor, you may not use this site. Keepromo reserves all rights and remedies it may have at law and equity against persons using this site who are not Authorized Users.

1.2 You do not need to register to use some of the functionality of the website or to access some of the services. However, registered clients are required to obtain an account from Keepromo.com to order products and services from Keepromo.com.

1.3 You need to supply us with your name, company name, email address, and relevant information for registration purpose. You promise that all of the information which you provide is correct, and it is your responsibility to notify us if any of your information changes. You must be responsible for registering by a valid email address that you access regularly, so that our emails can be sent to you. We may require you to re-validate the accounts if we believe that an invalid email address is used.

1.4 We reserve the right to decline a new registration or to cancel an existing registration at any time.

1.5 You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You accept responsibility for all activities that occur under your account or password and such use shall be deemed to be use by you. You will ensure that all use of your account complies fully with the provisions of the Web Site Use Agreement. Transfer of the account by you to any other person or entity is prohibited. You agree to immediately notify us in the event of any unauthorized use of your account or other breach of security.

2.    Website Use Agreement

2.1 This agreement is formed between you, the visitor to this website and Keepromo Australia Pty Ltd (ACN 155 250 936) of Suite 106, 107 Walker Street, North Sydney, NSW 2060, Australia ("Keepromo", "we" and "us")

2.2 By visiting and/or using the keepromo.com website, associated services and functionality ("website") you agree to be bound by this agreement ("agreement")

2.3 Keepromo may modify this agreement at any time and such modifications shall be effective immediately upon posting the modified agreement on the website. You should check this agreement from time to time, especially when ordering goods or services, to acquaint yourself with the current version of the agreement.

2.4 Keepromo reserves the right to change the website at any time. We do not guarantee that you will be able to access the website in the same way or with the same equipment or software you used prior to the change.

2.5 We may terminate your account or restrict your access to the website if we reasonably consider that there has been a breach of this agreement by you. If we do this, you may to the extent permissible at law be prevented from accessing all or parts of the website, your account details or other content contained in your account. We will not be liable to you or any third party for doing so.

2.6 You cannot use the website or any of the services or to permit anyone else to do any of the following:

• for any fraudulent purpose;
• Attempting to circumvent our security or network including accessing data not intended for you, access to the information you are not expressly authorized to access, or probing the security of other networks, and/or executing any form of network monitoring which will intercept data not intended for you.
• Sending "chain letters" or any other similar type of emails, whether or not the recipient wished or receive such mailings.
• Block, obscure, overwrite or modify any content on our website
• Engage in any unlawful activity in connection with the use of the website and/or the service or any of the vouchers
• Engage in any conduct which restricts or inhibits any other customer from properly using or enjoying the website and service.
• We reserve the right to refuse or remove any information or content which you submit at any time without sending you any notification.
• It is your responsibility to ensure that any products, services or information available through the website meet your specific requirements.

2.7 The Site is available to members who are 18 years and older.

2.8 The service and the use of the website do not include the provision of a computer or other necessary equipment to access the website or the service or to make any purchase. We shall not be liable of any costs that you may incur for using the website and any of the services, and we shall not be liable of any damages to your equipment resulting from the use of this website and any of the services.

2.9 You acknowledge that we shall not be responsible of any data lost while transmitting information on the internet.

2.10 You acknowledge that our website contains links to third party sites and to resources provide by third parties, those sites are merely linked for your convenience. We have no control over the sites, we have no responsibility for the contents of any linked website or any hyperlink contained in a linked website. It is entirely on your own risk to link to any such website; we have no responsibility for any loss or damage that may arise from your use of the website.

3. Purchase, Payment & Refund

All accounts are pre-paid.

3.1 By making a purchase through the website you warrant to Keepromo that you are over 18 years of age.

3.2. Should Keepromo suffer any loss or damage, as a result of a transaction entered into by a minor, Keepromo reserves the right to take legal action and seek compensation for such losses from the parents or guardians of the minor who caused the order to be placed.

3.3 In a credit card transaction, you must use your own credit card. Keepromo will not be liable for any credit card fraud. The liability to use a card fraudulently will be on the user and the onus to 'prove otherwise' shall be exclusively on the user.

3.4 We reserve the right of prevent you using the website and the service, or any part of them and to prevent you from making any purchase.

3.5 We will not issue refunds for the following circumstances:

• you have changed your mind;
• you have previously submitted a payment chargeback request to your financial institution that we have accepted.

We may try to resolve your complaint by means other than a refund, such as by repairing or replacing goods. If we successfully resolve your complaint a refund will not be issued.

3.6 We may issue you with a refund (using the payment method used for purchase) where:

• you have found the goods are damaged or faulty which caused by us.
• we did not meet your delivery date which was agreed before the order was confirmed.

3.7 While Keepromo tries to ensure accuracy, Keepromo reserves the right at any time to correct any errors in pricing or descriptions and to cancel or refuse to accept any order based on an incorrect price or description. Product and service prices and specifications are subject to change without notice. Keepromo reserves the right to limit quantities. Descriptive, typographic, or photographic errors are subject to corrections.

As for custom orders, shipping charges, and other factors, the final invoice for a product or service may be different than the original invoice as provided on keepromo.com to the client. When this occurs, Keepromo will contact the client by phone or email with the final invoice before processing the order and credit card or other payment.

4. Privacy Policy

Keepromo has created this privacy statement to demonstrate our firm commitment to your privacy. This policy describes our practices regarding personal information collected through our website or through any other means.

Cookies themselves do not enable us to access any personal information about our visitors; however, they do allow Keepromo to analyze guests' use of our sites. By submitting order and artwork to Keepromo, the customer represents that the use or display of artwork will not violate any applicable laws or client restrictions. Customer hereby agrees to release Keepromo from any liabilities of all claims.
